Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FeedSync platform, website, and services (collectively, the "Service"). By creating an account, completing checkout, or using the Service, you agree to be bound by these Terms.

1. General Information

1.1. The Service is operated by MB Feedsync, company code 307579097, registered under the laws of the Republic of Lithuania ("FeedSync", "we", "us", or "Service Provider").

1.3. FeedSync is provided exclusively as a business-to-business (B2B) service. The Service may only be used by legal or natural persons acting within their commercial or professional activity and having authority to enter into binding agreements.

2. Scope of the Service

2.1. FeedSync provides software tools for:

• creation, transformation, and delivery of product data feeds,
• synchronization of pricing, inventory, attributes, and availability,
• automated data exchange with third-party platforms, marketplaces, and systems.

2.2. FeedSync does not operate marketplaces, sell products to end customers, or control third-party platforms. We provide technical infrastructure for data synchronization only.

3. Registration, Accounts, and Access

3.1. To use the Service, you must create an account and provide accurate, complete, and up-to-date information.

3.2. The first registered user becomes the Account Administrator, responsible for:

• managing users and permissions,
• entering and maintaining third-party integration credentials,
• subscription and billing management.

3.3. You are responsible for all activity under your account, including actions performed by invited users.

3.4. Each user must be at least 18 years old and legally capable of entering into binding agreements.

4. Security and Integrations

4.1. You must take reasonable measures to protect your account credentials and prevent unauthorized access.

4.2. Credentials for third-party systems (API keys, tokens, passwords, URLs) are entered and managed solely by you. FeedSync does not verify their correctness or legality.

4.3. FeedSync applies industry-standard security practices but cannot guarantee absolute security and is not responsible for breaches caused by:

• compromised credentials,
• third-party services,
• your internal systems or users.

4.4. You must notify FeedSync without undue delay if you suspect unauthorized access or security incidents.

5. Subscriptions, Billing, and Payments (Stripe-Aligned)

5.1. Certain features of the Service require a paid subscription. Subscriptions are billed in advance on a recurring basis (monthly or annually), unless otherwise specified at checkout.

5.2. By completing checkout, you expressly authorize FeedSync to charge your selected payment method automatically and on a recurring basis for subscription fees, applicable taxes, and any related charges, until your subscription is cancelled.

5.3. Payments are processed via a third-party payment processor, such as Stripe. FeedSync does not store full payment card details. Payment information is handled securely by the payment processor in accordance with its terms.

5.4. You consent to your payment method being securely stored by the payment processor and used for future recurring charges in line with your selected subscription plan.

5.5. Subscriptions may be upgraded, downgraded, or cancelled through the billing portal available in your account. Cancellation takes effect at the end of the current billing period.

5.6. No refunds or prorated credits are provided for unused time, partial billing periods, plan downgrades, or early cancellations, unless mandatory law provides otherwise.

5.7. If a payment fails, FeedSync may:

• retry the charge automatically,
• suspend or limit access to the Service,
• downgrade or terminate the account if payment is not resolved.

5.8. Prices may change from time to time. Where required by law, advance notice will be provided before new prices apply.

5.9. Applicable taxes (including VAT) may be calculated automatically based on your billing information and location.

6. Acceptable Use

6.1. You agree not to:

• misuse or overload the Service,
• interfere with system integrity or security,
• attempt unauthorized access to systems or data,
• upload malicious or unlawful content,
• reverse engineer, decompile, or extract source code.

6.2. The Service may not be used in violation of applicable laws, third-party terms, or intellectual property rights.

7. Data Protection and Privacy

7.1. FeedSync processes personal data in accordance with its Privacy Policy and applicable data protection laws, including GDPR.

7.2. For personal data contained in product feeds, orders, or synchronized datasets:

• you act as the data controller,
• FeedSync acts as the data processor.

7.3. A Data Processing Agreement (DPA) applies where required by law and may be incorporated by reference or executed separately.

7.4. FeedSync may use aggregated and anonymized data to improve system performance, reliability, and functionality, provided such use does not identify individuals.

8. Intellectual Property

8.1. All intellectual property rights in the FeedSync platform, software, APIs, documentation, and website remain exclusively with FeedSync or its licensors.

8.2. You retain ownership of your data submitted to the Service.

8.3. You may not copy, modify, distribute, or create derivative works of the Service without prior written consent.

9. Availability and Disclaimer

9.1. The Service is provided on an "as is" and "as available" basis.

9.2. FeedSync does not guarantee uninterrupted or error-free operation and is not responsible for:

• third-party platform changes,
• external outages,
• errors originating from your data or configurations.

10. Limitation of Liability

10.1. To the maximum extent permitted by law, FeedSync shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.

10.2. FeedSync's total aggregate liability shall not exceed the fees paid by you during the 12 months preceding the event giving rise to the claim.

11. Suspension and Termination

11.1. You may cancel your subscription at any time via the billing portal. Access remains active until the end of the paid billing period.

11.2. FeedSync may suspend or terminate access immediately if:

• these Terms are violated,
• payments remain unpaid,
• required by law or authorities,
• continued access poses security or legal risk.

11.3. Upon termination, access to the Service ceases. Data may be deleted in accordance with legal obligations and retention policies.

12. Changes to the Terms

12.1. FeedSync may update these Terms from time to time. The latest version will always be available on our website.

12.2. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

13.1. These Terms are governed by the laws of the Republic of Lithuania.

13.2. Any disputes shall be resolved by the competent courts of Lithuania.
